Notice to all subscribers and users of the Ventana Ambiental Mexico Website and Database. The following terms and conditions govern all types of users on this website. The United States-Mexico Chamber of Commerce (the Chamber) owns and manages the VAM website and these terms and conditions shall be governed and construed under the laws of the District of Columbia and the United States of America, notwithstanding any choice of law provisos. Any use whatsoever shall subject the user to the jurisdiction of the District of Columbia and user agrees to accept process by mail and waive all jurisdictional and venue defenses.

4. Indemnification. All users and subscribers agree to indemnify and hold the Chamber, its officers, directors, employees, attorneys, agents and assigns harmless from claims, damages and demands made by any party arising from the use of the VAM website, including attorney's fees.

5. Intellectual Property and Proprietary Information. The information contained in the VAM website is protected by United States and international copyright laws and by United States and international servicemark laws, unfair competition laws, common law and international conventions. In addition, all laws pertaining to domain names also apply to the information, content and materials contained in the database. By subscribing or using the VAM website, you agree to comply with all copyright, servicemark, domain name and other laws pertaining to proprietary information and the terms of this licensing agreement. All uses of the information shall be in compliance with the above laws, regulations and policies.

THE CHAMBER MAKES NO REPRESENTATIONS ABOUT THE RELIABILITY, ACCURACY, COMPLETENESS, SUITABILITY OR LACK OF VIRUSES FOR THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED IN THE VAM WEBSITE. ALL INFORMATION, SOFTWARE, PRODUCTS, SERVICES OR RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Except as indicated below, the Chamber will not sell, rent or share any personally identifiable information which a user or subscriber provides without the user or subscriber consent.The VAM website servers will automatically capture non-personally identifiable information to analyze the data for trends and to improve the website. This includes, but is not limited to, a domain name, an IP address of the web page from which one enters the website, the pages visited on the VAM website, the click-through rates or the amount of time spent in the VAM website. The individual user or subscriber remains anonymous. Any of this non-personally identifiable information may be provided in aggregate form. The Chamber may require the submission of personally identifiable information such as name, company name, address, phone number, fax number and e-mail address. A user or subscriber may decline to provide this information and may continue to visit the VAM website, but this will provide only limited access to the VAM website.The Chamber will not provide any personally identifiable information to third parties without user or subscriber consent. However, the Chamber reserves the right to provide such personally identifiable information to third parties to: protect the public and other users or subscribers; to protect and defend VAM property rights; or to comply with legal process or other legal requirements.

The VAM website is linked to other websites and you may elect to leave the VAM website and go to another website. A user or subscriber who elects to go to another website will cease to be governed by the Chamber's privacy policy and will be governed by the new website's privacy policy. No other information will be encrypted. Unless the Chamber endorses or promotes a linked website, the user or subscriber who proceeds to that linked website assumes the risk of whatever terms and conditions apply. Any commercial transaction between a user and subscriber is the sole responsibility of the user or subscriber and the user or subscriber indemnifies and holds the Chamber and the VAM website harmless from actions arising therefrom. A user or subscriber may link to the VAM website, so long as user or subscriber does not: imply that the VAM endorses the website; makes no representations about its relationship with the Chamber or VAM; does not illegally display the Chamber or VAM logos or other intellectual property; does not conceal copyright, servicemark or other proprietary information; or does not create a browser or border environment around the VAM content.

9. Force Majeure. The user and subscriber agree that the Chamber and the VAM website will not be liable for any loss resulting from a cause over which the Chamber does not have direct control, including, but not limited to failure of electronic or mechanical equipment, software, communication lines, telephone or other interconnect problems, computer viruses, unauthorized access, theft, operator error, severe weather conditions, natural disasters, labor strife, war, revolution, insurrection, terrorism, government or judicial restrictions or acts of God.

10. Access to Secure Areas. User or subscriber agree that they will not attempt to access a password protected or secure areas of the VAM website unless the user or subscriber is authorized. An authorized user or subscriber agrees to prevent third parties from obtaining access to the VAM website without express prior authorization from the Chamber.

11. Submissions to the Website. To the extent that a user or a subscriber communicates with others through the VAM website, said user or subscriber agrees that submissions to the VAM website shall not contain information that is: false or misleading, defamatory; obscene; infringing on intellectual property; illegal or contains viruses that may damage the operation of another's computer, server, software or other property. Users or subscribers further warrant and represent that they own or have a license to use and transmit any copyrighted information and that the information provided will not infringe upon the rights of others. The user or subscriber grant the Chamber and the VAM website a non-exclusive, irrevocable, royalty free license to display, copy, transmit, print and use this transmitted information in any manner.

12. General Provisions. The user or subscriber agrees that no partnership, agency, employment or joint venture is created by these terms and conditions. In the event that any part or section of these terms and conditions are declared void, unenforceable, invalid or illegal, that the remainder of the terms and conditions shall remain valid and enforceable. These terms and conditions are the full agreement between the user or subscriber and the Chamber and the VAM website and by clicking on the "ACCEPT" button, the user or subscriber hereby accepts all of the above terms and conditions as if signing a written contract.
